TERMS & CONDITIONS

ILYAN STUDIO provides creative production services including, but not limited to, creative direction, concept development, digital production, CGI, visual content, branded films, advertising content, image creation, motion content and post-production.

The exact scope, deliverables, format and specifications of each project will be defined in the relevant proposal, quotation, brief or written agreement.

A project is considered confirmed once the Client has approved the agreed scope and any required initial payment has been received.

Payments may be processed through third-party payment providers such as Stripe.

Unless otherwise agreed in writing, production may begin only after receipt of the required initial payment.

Any remaining balance must be paid according to the payment schedule communicated for the project.

ILYAN STUDIO reserves the right to pause work or withhold final deliverables where an outstanding payment is due.

Project fees are based on the agreed scope of work.

Requests that materially change the original concept, scope, deliverables, formats or production requirements may be considered additional work and may require additional fees.

Any additional charges will be communicated to the Client before the additional work is undertaken.

The number of revision rounds included in a project will be specified in the relevant proposal or quotation.

Revisions must remain within the originally approved creative direction and scope.

New concepts, substantial changes after approval, additional deliverables or requests outside the agreed scope may be quoted separately.

The Client is responsible for ensuring that it has the necessary rights and permissions for any logos, photographs, videos, trademarks, music, product imagery, designs, text or other materials supplied to ILYAN STUDIO.

By supplying such materials, the Client authorizes ILYAN STUDIO to use them solely as necessary to perform the agreed services.

Certain projects may incorporate CGI, generative technologies, digital compositing, synthetic imagery, digital characters, virtual environments or other digital production techniques.

The Client acknowledges that minor variations, visual interpretations and technical limitations may occur during the creative production process.

Unless specifically agreed otherwise, ILYAN STUDIO does not guarantee exact replication of real people, locations, physical materials or other reference elements.

Estimated production and delivery timelines will be communicated for each project.

Timelines may be affected by delayed Client feedback, late delivery of required materials, changes to the approved scope or circumstances outside ILYAN STUDIO's reasonable control.

Any delivery date should therefore be considered an estimate unless expressly agreed otherwise in writing.

Because ILYAN STUDIO provides customized creative services, payments relating to work already performed are generally non-refundable.

If a Client cancels a project after production has begun, ILYAN STUDIO may retain amounts corresponding to work already completed and costs already incurred.

Where appropriate, any refund for work not yet performed will be determined according to the circumstances of the project and the applicable proposal or agreement.

Unless otherwise agreed in writing, ownership or agreed usage rights in the final approved deliverables transfer to the Client only after full payment has been received.

Working files, project files, unused concepts, drafts, prompts, production methods, workflows, internal assets and other intermediate materials remain the property of ILYAN STUDIO unless their transfer is expressly included in the agreed scope.

Third-party materials remain subject to their respective licences.

Unless confidentiality or other restrictions have been agreed in writing, ILYAN STUDIO may display completed and publicly released work for portfolio, website, social media, award submission and self-promotional purposes.

Where a project is confidential or subject to an agreed launch date, ILYAN STUDIO will respect those restrictions.

The Client is responsible for reviewing deliverables before final approval, including names, spelling, claims, trademarks, product information and other factual or regulatory content.

Once a deliverable has received final approval, subsequent changes may be treated as additional work.

ILYAN STUDIO may use third-party services and platforms in connection with production, communication, file delivery and payment processing.

ILYAN STUDIO is not responsible for interruptions or failures caused solely by third-party platforms outside its reasonable control.

To the maximum extent permitted by applicable law, ILYAN STUDIO will not be liable for indirect, incidental, consequential or special losses arising from the use of its services or deliverables.

ILYAN STUDIO's aggregate liability relating to a project will not exceed the amount actually paid by the Client to ILYAN STUDIO for that project, except where such limitation is prohibited by applicable law.

Where confidential information is shared in connection with a project, each party should take reasonable measures to protect that information and use it only for purposes related to the project.

Specific confidentiality requirements may be agreed separately where necessary.

These Terms are subject to the laws and jurisdiction specified in the applicable proposal, contract or other agreement between ILYAN STUDIO and the Client.

If no jurisdiction has been specified, applicable law will be determined according to the legal entity through which ILYAN STUDIO provides and invoices the services.

Certain works displayed by ILYAN STUDIO may be independently created speculative, conceptual or portfolio projects and may feature or reference existing brands, products or trademarks.

Unless expressly stated otherwise, such projects are not commissioned, sponsored, endorsed, approved by, or affiliated with the brands or trademark owners depicted.

All third-party trademarks, brand names, logos and other proprietary materials remain the property of their respective owners. Their appearance in conceptual work is intended solely to demonstrate creative direction and production capabilities and does not imply any commercial relationship or endorsement.

ILYAN GROUP LLC-FZ, operating under the brand ILYAN STUDIO, does not claim ownership of third-party trademarks or brand assets featured in such conceptual work.

ILYAN STUDIO may update these Terms from time to time. The version applicable to a project will generally be the version in effect when that project is confirmed, unless otherwise agreed.
